Alphaeon to Acquire Lensar
Lifestyle healthcare company Alphaeon announced that it is acquiring Lensar, maker of the Lensar femtosecond laser system. The deal was announced at the American Academy of Ophthalmology meeting in Las Vegas by Alphaeon CEO Robert Grant and Lensar CEO Nick Curtis.
The transaction is valued at up to $59 million in cash, stock and assumed debt. The transaction is subject to the completion of certain closing conditions on or before December 31, 2015.
Following the announcement, Mr. Curtis spoke to Eyewiretoday.com about the deal and how it will benefit Lensar’s operations.
“It’s a partnership we’re really excited about as it leverages our important synergies between the two companies. Importantly, we will be gaining access to Alphaeon’s propriatary network of physicians who are consistently demanding the most advanced technologies across the spectrum of care. And this is an area we feel we fit very well,” Mr. Curtis said.
“Our Lensar team is extremely pleased that we will remain in place in Orlando and we can continue to evolve our technology, pushing the femtosecond cataract market forward, empowering surgeons with the capabilities to deliver better outcomes, and patient satisfaction. We plan on remaining independent with Alphaeon’s support for growth and innovation,” Mr. Curtis added.
With this announcement, Alphaeon expands its global ophthalmology business, and enables the company to provide advanced technology to its broad network of more than 2,000 board-certified ophthalmologists globally, according to a company news release.
"Lensar has advanced the self-pay category of precision refractive surgery both for ophthalmologists as well as their patients," Robert E. Grant, CEO of Alphaeon, said in the news release. "The addition of Lensar to our lifestyle product portfolio will provide ophthalmologists with another alternative to expand their offering to patients. We are very pleased at the opportunity to welcome Lensar employees to our expanding global team."
Alphaeon also announced at the AAO meeting it has entered into a definitive agreement with PhysIOL SA of Belgium to jointly develop and commercialize an exclusive Alphaeon-branded trifocal lens technology. Specific terms of the agreement were not disclosed. Alphaeon also this week announced it is acquiring Integrity, provider of cloud-based EMR software.
